What an RCAICO is — and what it must never become · The offering
You are not launching a token. You are proposing an instrument.
Design, issuance, offer, promotion and secondary trading are different jobs.
Teams collapse five events into one word: launch. On a serious file they are distinct. Design is the economic and technical specification of the asset. Issuance is the creation of units on a ledger, which may happen long before anyone is invited to acquire them. Offer is the proposal that someone give value for those units, or for a right that will become those units. Promotion is the set of communications capable of inducing that proposal to be accepted. Secondary trading is what happens after someone already holds the thing, on a venue you do or do not control.
A team can design without issuing, issue without offering, offer without promoting to the public, and promote a product without offering a token. Those combinations are not academic. They are the difference between a testnet announcement and an unregistered public sale. RCA Pad will help you keep the combinations from collapsing on a homepage. Questions the file must answer before a campaign exists
Operating questions, not a legal test
- 01What, precisely, does a holder receive? A right to use a live product? A claim on the issuer? A governance power? Nothing yet?
- 02Who is allowed to receive it, in which market, at which sophistication?
- 03Is anyone being asked to give value now? If yes, in what form, to which entity, through which rails?
- 04Which communications are capable of inducing that transfer, including founder interviews and creator posts?
- 05Who is the customer of any onboarding — the issuer, a CASP, a transfer agent, nobody yet?
- 06What happens if the public story has to stop in twenty-four hours?
If those answers are “we’ll figure it out in growth,” you do not have an offering to operationalise. You have a hope that distribution will force the legal work to catch up. Distribution that outruns classification is how 2017 happened the second time, with better fonts.
