Vilnius is not a backdrop. It is the city where the customer can be called on a recorded line.

Elder Book — An operational layer for funds: NAV events, share-class records, books an AIFM can defend. The administrator remains the administrator. This is co-sourced infrastructure, not a tokenised fund on a public board.

Screened, not yet in sprint. Treat every number as provisional. Calendar access is not automatic.

A year from now this will be an obvious company or a missed one. The window decides which.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

Share-class seat

Elder Book sells a 15-day lag down to a day, without turning the unit into a coin.

Why the desk took it

Early — still a question.

NAV liability sentence exists. Who is wrong when the number is wrong.

Traction

One named pilot (redacted).

Founded 2021, headquartered in Vilnius. One named pilot on file (redacted in public). 1 nodes or connected surfaces reported. Desk diligence score 61/100. A treasurer at a bank that already settles — not a crypto-native desk. Architecture says keys / title / NAV liability sit with a named licensed party — not Elder Book.

Next 12 months

Counsel on the unit — security or not — in writing.

SS&C and Apex are the admin. This is the event layer they can defend. They sell a fee the customer already pays a slower vendor for. TAM is that invoice, not a token float.

The brief

How a serious reader should hold this.

Vilnius is not a backdrop. It is the jurisdiction where a named customer can be sued, called, and asked a question on a recorded line. Elder Book chose it for that reason. Counterparties who still think this is a ‘global’ story are already late.

Elder Book exists because the incumbent brand will not staff the unglamorous middle of Fund books. The product is that middle. The token, if it ever exists, is not the product — and is not for sale here. The people in the queue already understood the difference.

A dual-control drill sits on paper. Keys, title, or NAV liability sit with a named licensed party — not Elder Book. The architecture says so. We have not watched the drill live. That is the next ask, not a slogan.

From the screen

Fixed fee. Deposit to start. 0% of proceeds. Token-only pay is declined. Percentage of raise is declined.

From ops

US persons are outside the audience. A form that asks “are you accredited?” without verification is not an exemption.

From the pilot

This communication is not an offer. Participation mechanics do not exist on this pad. If a later reader treats the public stack as the offer, the stack was already wrong.

The window

Miss this and you read the archive.

When the heat drops, the named customer is still named — they just stop taking new calls.

Budget exists on a line the board can see. That is why the window is this quarter.

Read it once, properly, while the number is still green. Then decide.

Elder Book sells a 15-day lag down to a day, without turning the unit into a coin.

Allocators want faster marks. Administrators cannot staff that with people. A dual-record (their books + this event) is how they sleep.

Fund administration is a fee business measured in basis points of AUM. A faster close is retained business.

Versus the field

A generalist vendor can copy the slide in a quarter. They cannot copy the named record, the scheme map, or the auditor conversation. That is the year they would have to buy.

The live path is Not offering — locked. Proposed Regulation Crypto Assets is not treated as a calendar slot. Build as if it never opens.

How it works

  1. 01Administrator remains source of truth
  2. 02Events (NAV, subscription, share-class) are signed and timestamped
  3. 03Investors and auditors query what they are allowed to see
  4. 04The fund unit is not listed here as a token you can buy
  5. 05Investors and auditors query only what they are allowed to see
  6. 06Retail and unnamed geographies are structurally off the form, not only in the footer.

What “in market” actually looks like.

  1. MonClaimsEvery public sentence checked against the register. Anything extra is unpublished.
  2. SatDarkNo creators. No threads. Restricted geos stay dark.
  3. WedCounselPerimeter diffs. If the site drifted from the memo, the site moves — not the memo.
  4. SunOwnersWho can decide messaging and budget on a recorded line. If the answer is nobody, stop.

The wedge

Why this one, not the other one.

They sell
Share-class seat
Who pays
A treasurer at a bank that already settles — not a crypto-native desk.
Unit economics
They sell a fee the customer already pays a slower vendor for. TAM is that invoice, not a token float.
Moat on file
A live NAV event in a real fund, not a demo clock.
Switching cost
Permissioned connectivity is the moat. Public endpoints would erase it.
Vs the comps
SS&C and Apex are the admin. This is the event layer they can defend.
Why we listed it
NAV liability sentence exists. Who is wrong when the number is wrong.

Next twelve months

What has to be true.

Counsel on the unit — security or not — in writing.

Architecture says keys / title / NAV liability sit with a named licensed party — not Elder Book.

Growth money would extend the record to a second geography, still permissioned.

Traction

  • Architecture paper — no production customer on the public file
  • No token contract listed as a public sale
  • Named founder; customer still a conversation
  • Vilnius is the operating centre
  • The waitlist, if any, is a product list — not a book
  • RCA Pad does not take a cut of proceeds

Risks

What can kill it.

The one that actually kills it

A second geography without a lock

Extending the record into a market that is still restricted is how a clean Vilnius story becomes a fact pattern. The restricted list exists for a reason: EU retail.

Unit token

A share-class token sold to the public is a securities offering. This pad will not run that as a sale.

Admin of record

If the admin has not signed, this is a shadow book. Shadow books do not survive an audit.

NAV liability

Who is wrong when the number is wrong? That sentence has to exist.

Distribution

Using this layer as a public subscription journey is a different file — and usually the wrong house.

Shadow book

If the administrator has not signed, Elder Book is a copy of a spreadsheet. Copies do not survive the audit.

Token relapse

A later round that wants a public token puts Elder Book in a different perimeter. The file treats that as a hard stop.

Ask these next

  1. 01Who can unpublish a public sentence in 24 hours, by name?
  2. 02What happens if a founder later wants a public token?
  3. 03Which incumbent can copy this in a quarter, and what would they have to migrate?
  4. 04Which geography is actually locked, and which is a hope?
  5. 05What does renewal look like if no round ever happens?
  6. 06Who is the first named paying customer — not a letter of intent?

Rafa Hale came in named. The team is not a handle. Elder Book Ltd exists, founded 2021, headquartered in Vilnius. Anonymity would have been an automatic decline.

If the first customer renews, the adapter work pays for itself. If they do not, Elder Book is a services firm with a slide. The twelve-month test is renewal, not waitlist.
