Elder North

Window closed. a short list asked while it was live. You are reading history.

Renewal — not the round — is the twelve-month test. The people in this queue already know that.

Elder North — A permissioned netting engine for trading venues and brokers that are already licensed. It reduces what has to settle. It is not a new CCP, and it is not a collateral token.

Closed on this board. Any capital event was completed with the issuer’s own providers. RCA Pad took 0%.

Closed. The live conversation is over. The pack remains as archive.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Carrier seat

A tokenised policy sold to a crowd is a different, usually illegal, company.

Why the desk took it

A real job, not a ticker.

No policy-as-token in the revenue model.

Traction

3 named pilots (redacted).

Founded 2023, headquartered in Toronto. 3 named pilots on file (identities redacted in public). 20 nodes or connected surfaces reported. Desk diligence score 89/100. A transfer agent willing to consume a revoke in production. Architecture says keys / title / NAV liability sit with a named licensed party — not Elder North.

Next 12 months

Bordereau cycle running without a side spreadsheet.

An insurance DAO is not this file. They sell a fee the customer already pays a slower vendor for. TAM is that invoice, not a token float.

The brief

How a serious reader should hold this.

Toronto is not a backdrop. It is the jurisdiction where a named customer can be sued, called, and asked a question on a recorded line. Elder North chose it for that reason. Counterparties who still think this is a ‘global’ story are already late.

Elder North exists because the incumbent brand will not staff the unglamorous middle of Reinsurance records. The product is that middle. The token, if it ever exists, is not the product — and is not for sale here. The people in the queue already understood the difference.

On a Tuesday in Toronto, an exception posts back into the customer’s existing case system. Nobody opens a side spreadsheet. That is the product: the night someone in ops does not stay late.

From the founder

US persons are outside the audience. A form that asks “are you accredited?” without verification is not an exemption.

From the pilot

Fixed fee. Deposit to start. 0% of proceeds. Token-only pay is declined. Percentage of raise is declined.

From ops

We will not describe this as Reg CA-compliant, MiCA-stickered, or FCA-authorised. Issuers retain their own counsel in every relevant jurisdiction.

The window

Miss this and you read the archive.

The decline pile in Reinsurance records is full of companies that looked the same on slide one. This one is listed.

Budget exists on a line the board can see. That is why the window is this quarter.

Read it once, properly, while the number is still green. Then decide.

This company

Elder North

The protocol pitch is the thing this company has already refused.

In the same conversation

  • Not a DeFi clearinghouse

The bet

Why this company exists.

A tokenised policy sold to a crowd is a different, usually illegal, company.

A tokenised policy sold to a crowd is a different, usually illegal, company.

T+1 and capital rules make gross settlement expensive. Venues will buy netting as a service before they will buy a new licence.

Post-trade cost is a line on every broker P&L. A 10% cut in settlement fails is a CFO conversation.

Versus the field

A generalist vendor can copy the slide in a quarter. They cannot copy the named record, the scheme map, or the auditor conversation. That is the year they would have to buy.

Named: Canada, United Kingdom. Off-limits: United States retail. A US person hearing an offering communication is a US problem even if the company sits in Toronto. Blocking an IP and taking a US Telegram admin is not a block.

How it works

  1. 01Members post positions they already hold
  2. 02The engine nets what the rulebook allows
  3. 03Only the residual hits the existing settlement rail
  4. 04Collateral as a token is an exclusion on this file
  5. 05Claim and premium events update the same slip the markets already signed
  6. 06Kill of a public sentence is an hour, not a committee.

If they raise

Where the money would actually go.

Not a token float. A budget against work. RCA Pad still takes 0% of proceeds.

  • Counsel & perimeter

    35%

Dual-control drills, key ceremonies, and the person who owns them.

  • Second market

    23%

The remaining certifications and the second named market.

  • Certifications & adapters

    18%

Adapter work against the incumbent register, admin, or custodian.

  • Claims & campaign ops

    24%

Keeping the public story from running ahead of the claims register.

Operating week

What “in market” actually looks like.

  1. FriKill switchRehearse unpublish in 24 hours. If it takes a committee, it is not a switch.
  2. WedCounselPerimeter diffs. If the site drifted from the memo, the site moves — not the memo.
  3. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  4. MonClaimsEvery public sentence checked against the register. Anything extra is unpublished.

The wedge

Why this one, not the other one.

They sell
Carrier seat
Who pays
A transfer agent willing to consume a revoke in production.
Unit economics
They sell a fee the customer already pays a slower vendor for. TAM is that invoice, not a token float.
Moat on file
A coverholder has written a live binder on this record.
Switching cost
Scheme maps, ISO, LMA language, registry adapters — eighteen months of unglamorous work.
Vs the comps
An insurance DAO is not this file.
Why we listed it
No policy-as-token in the revenue model.

Next twelve months

What has to be true.

Bordereau cycle running without a side spreadsheet.

Architecture says keys / title / NAV liability sit with a named licensed party — not Elder North.

Capital would fund the adapter work and a named counsel memo, not a public sale.

Traction

What you can verify today.

  • Operating notes for Treaty book
  • No token contract listed as a public sale
  • Named founder; customer still a conversation
  • Toronto is the operating centre
  • The waitlist, if any, is a product list — not a book
  • Raise, if any, closed with issuer providers

Risks

What can kill it.

The one that actually kills it

A second geography without a lock

Extending the record into a market that is still restricted is how a clean Toronto story becomes a fact pattern. The restricted list exists for a reason: United States retail.

CCP perimeter

If a regulator reads this as clearing, the licence problem is existential.

Collateral token

That ask has been refused on files like this. It should stay refused.

Member default

Who eats the loss? If the answer is ‘the protocol’, there is no protocol that can.

Incumbent freeze-out

CCPs can copy the netting logic faster than a startup can collect members.

Not a carrier

If Elder North looks like it is taking risk, it needs a licence. The file says it does not. Keep it that way.

Facts vs theatre

A proof of a fake book is still a fake book. Elder North has to attach to the real one, in Toronto.

Ask these next

  1. 01What happens if a founder later wants a public token?
  2. 02What does renewal look like if no round ever happens?
  3. 03Which geography is actually locked, and which is a hope?
  4. 04Which incumbent can copy this in a quarter, and what would they have to migrate?
  5. 05If RCA Pad disappeared tomorrow, could the customer still run the job?
  6. 06Is the waitlist demand for a product, or a queue for a coin?

Who can decide

Eva Park (Chief executive) will take a 30-minute call and decide budget. If the only person who can accept “we are not opening a sale” is a silent co-founder in another time zone, this company would not be on the board.

Year two is a second named market and the remaining certifications — still permissioned. It is not a public book. A public book would be a different company.
