Ember Yard — An operational layer for funds: NAV events, share-class records, books an AIFM can defend. The administrator remains the administrator. This is co-sourced infrastructure, not a tokenised fund on a public board.

Closed on this board. Any capital event was completed with the issuer’s own providers. RCA Pad took 0%.

Closed. The live conversation is over. The pack remains as archive.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Per NAV event

The wedge is staffing: administrators cannot hire the close they promised allocators.

Why the desk took it

A real job, not a ticker.

NAV liability sentence exists. Who is wrong when the number is wrong.

Traction

4 named pilots (redacted).

Founded 2026, headquartered in Vancouver. 4 named pilots on file (identities redacted in public). 3,996 on the waitlist, gated — product demand, not a book built. 17 nodes or connected surfaces reported. Desk diligence score 78/100. A coverholder or carrier running one binder on this record. Architecture says keys / title / NAV liability sit with a named licensed party — not Ember Yard.

Next 12 months

Daily NAV in one live fund.

Citi TA will not be replaced. It might consume this. Annual software against an ops cost the board can see. Switching cost is the record, not the brand.

The brief

How a serious reader should hold this.

The first sentence Noam Vogel would not let us publish was the exciting one. What remains is slower — and scarcer: Ember Yard Ltd selling Share-class ops as software, from Vancouver, to a buyer who already pays someone else to do this badly. That buyer is named. You are not, yet.

Ember Yard exists because the incumbent brand will not staff the unglamorous middle of Share-class ops. The product is that middle. The token, if it ever exists, is not the product — and is not for sale here. The people in the queue already understood the difference.

A sentence went public and came down in under an hour. Noam Vogel treated the kill as an operating skill, not a PR event. Files that cannot do this do not stay listed.

From ops

The legal source of truth stays with the incumbent register, admin, or custodian. Ember Yard does not attest to its own facts.

From the founder

This communication is not an offer. Participation mechanics do not exist on this pad. If a later reader treats the public stack as the offer, the stack was already wrong.

From counsel

US persons are outside the audience. A form that asks “are you accredited?” without verification is not an exemption.

The window

Miss this and you read the archive.

The incumbent will still be slow in a year. The window will not.

Counsel hours on file: enough that a later reader can tell this was not improvised.

Open the diligence or watch it close. There is not a third option that still counts as early.

The bet

Why this company exists.

The wedge is staffing: administrators cannot hire the close they promised allocators.

The wedge is staffing: administrators cannot hire the close they promised allocators.

Allocators want faster marks. Administrators cannot staff that with people. A dual-record (their books + this event) is how they sleep.

Fund administration is a fee business measured in basis points of AUM. A faster close is retained business.

Versus the field

L2 wrappers are cheaper. They are also a different perimeter — and declined here. Ember Yard is priced as software against an invoice that already exists.

Vancouver being the city does not make local retail a default audience. Communications capable of inducing investment activity still have a promotions problem.

How it works

  1. 01Administrator remains source of truth
  2. 02Events (NAV, subscription, share-class) are signed and timestamped
  3. 03Investors and auditors query what they are allowed to see
  4. 04The fund unit is not listed here as a token you can buy
  5. 05Investors and auditors query only what they are allowed to see
  6. 06A named counterparty verifies; Ember Yard does not attest to its own facts.

If they raise

Where the money would actually go.

Not a token float. A budget against work. RCA Pad still takes 0% of proceeds.

  • Named operators

    39%

  • Control environment

    26%

A counsel memo that can survive a later reader.

  • Second market

    20%

Operating week

What “in market” actually looks like.

  1. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  2. MonClaimsEvery public sentence checked against the register. Anything extra is unpublished.
  3. SunOwnersWho can decide messaging and budget on a recorded line. If the answer is nobody, stop.
  4. SatDarkNo creators. No threads. Restricted geos stay dark.

A round, if any, sits with their providers. This pad does not take the order.

Risks

What can kill it.

The one that actually kills it

The named customer is a letter of intent

Pilots that cannot be named, even redacted, are theatre. One paying seat that an auditor has seen is worth more than a waitlist of 3,996.

Unit token

A share-class token sold to the public is a securities offering. This pad will not run that as a sale.

Admin of record

If the admin has not signed, this is a shadow book. Shadow books do not survive an audit.

NAV liability

Who is wrong when the number is wrong? That sentence has to exist.

Distribution

Using this layer as a public subscription journey is a different file — and usually the wrong house.

Shadow book

If the administrator has not signed, Ember Yard is a copy of a spreadsheet. Copies do not survive the audit.

Facts vs theatre

A proof of a fake book is still a fake book. Ember Yard has to attach to the real one, in Vancouver.

  2. 02If RCA Pad disappeared tomorrow, could the customer still run the job?
  3. 03Where do keys, title, or NAV liability sit — and is that person licensed?
  4. 04What happens if a founder later wants a public token?
  5. 05Which geography is actually locked, and which is a hope?
  6. 06Which incumbent can copy this in a quarter, and what would they have to migrate?

Who can decide

Noam Vogel came in named. The team is not a handle. Ember Yard Ltd exists, founded 2026, headquartered in Vancouver. Anonymity would have been an automatic decline.

Year two is a second named market and the remaining certifications — still permissioned. It is not a public book. A public book would be a different company.
