Fennel Mark

Counsel is live. The waitlist is 1,600. The public sale is not.

1,600 names asked to be first. None of them bought a token here. They asked for the product.

Fennel Mark — A system of record for private-credit funds and desks: tapes, RFQs, or covenants that update when a borrower files. The buyers already have a book. This is plumbing, not a venue that matches strangers.

Live campaign. 1,600 on the product waitlist — that is demand, not an allocation.

Window a fewd. Waitlist 1,600. 62 asks this week. This is not a quiet listing.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Desk seat

Fennel Mark wants to be the record everyone already trusts, without becoming the venue.

Why the desk took it

A real job, not a ticker.

They asked us to kill ‘marketplace’ in every sentence. We did.

Traction

2 named pilots (redacted).

Founded 2024, headquartered in Paris. 2 named pilots on file (identities redacted in public). 1,600 on the waitlist, gated — product demand, not a book built. 11 nodes or connected surfaces reported. Desk diligence score 87/100. Two licensed PSPs on a paid pilot — identities off the public file. Architecture says keys / title / NAV liability sit with a named licensed party — not Fennel Mark.

Next 12 months

One administrator consuming marks daily.

eFront and Allvue are funds’ books. This is the tape between funds. They win if they are cheaper than the internal build, not cheaper than a protocol.

The brief

How a serious reader should hold this.

In Paris, the person who signs the monthly pack already has a vendor. Fennel Mark is not asking them to believe in a token. It is asking them to move one job — the one that currently lives in a spreadsheet, a fax, or a person who is about to retire — onto a record that can be shown to counsel. The queue to read that record is already not empty.

Fennel Mark exists because the incumbent brand will not staff the unglamorous middle of Credit RFQ. The product is that middle. The token, if it ever exists, is not the product — and is not for sale here. The people in the queue already understood the difference.

On a Tuesday in Paris, an exception posts back into the customer’s existing case system. Nobody opens a side spreadsheet. That is the product: the night someone in ops does not stay late.

From the founder

This communication is not an offer. Participation mechanics do not exist on this pad. If a later reader treats the public stack as the offer, the stack was already wrong.

From the screen

US persons are outside the audience. A form that asks “are you accredited?” without verification is not an exemption.

From ops

A dual-control drill exists on paper. Production evidence is the next artefact, not a tweet.

The window

Miss this and you read the archive.

Miss a few days and you are explaining to your IC why you read it after it closed.

The comment period is not a path. This company is priced as if that is already true.

Read it once, properly, while the number is still green. Then decide.

The bet

Why this company exists.

Fennel Mark wants to be the record everyone already trusts, without becoming the venue.

Fennel Mark wants to be the record everyone already trusts, without becoming the venue.

Allocators want daily marks and covenant visibility. Banks want to originate without building a chain team. The first honest tape that does not pretend to be an exchange will be paid for as software.

Private credit AUM is measured in trillions. The software take-rate is small. The switching cost, once a tape is the record, is not.

Versus the field

L2 wrappers are cheaper. They are also a different perimeter — and declined here. Fennel Mark is priced as software against an invoice that already exists.

Paris being the city does not make local retail a default audience. Communications capable of inducing investment activity still have a promotions problem.

How it works

  1. 01A loan or covenant event is written once
  2. 02Permissioned counterparties see what they are allowed to see
  3. 03Marks and RFQs stay inside named desks
  4. 04No public order book, no retail
  5. 05Default and amendment events are first-class, not a PDF in a side channel
  6. 06Exceptions post back into the customer’s existing case system — no side spreadsheet.

What “in market” actually looks like.

  1. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  2. MonClaimsEvery public sentence checked against the register. Anything extra is unpublished.
  3. FriKill switchRehearse unpublish in 24 hours. If it takes a committee, it is not a switch.

The wedge

Why this one, not the other one.

They sell
Desk seat
Who pays
Two licensed PSPs on a paid pilot — identities off the public file.
Unit economics
They win if they are cheaper than the internal build, not cheaper than a protocol.
Moat on file
Administrator of record has signed a dual-control letter.
Switching cost
Network effects only if a second named counterparty writes. One customer is a service firm.
Vs the comps

Why we listed it

Risks

What can kill it.

The one that actually kills it

A second geography without a lock

Extending the record into a market that is still restricted is how a clean Paris story becomes a fact pattern. The restricted list exists for a reason: United States retail, United States.

Marketplace slip

The moment this looks like a public book, it is a venue. This pad will not list that.

Data rights

Who owns the tape when a fund leaves? If that is unsigned, the enterprise value is a conversation.

Credit cycle

A default cluster will test whether the product is a record or a reputation.

Retail

Retail is prohibited. Any ‘access token’ story is a different company.

Data rights on exit

If a fund leaves and the tape stays, who owns the history? Unsigned, the enterprise value is a conversation.

Path silence

If counsel will not name a path and not-offering is not locked, heated waitlist copy is an accidental offering.

Ask these next

  1. 01If RCA Pad disappeared tomorrow, could the customer still run the job?
  2. 02What happens if a founder later wants a public token?
  3. 03What does renewal look like if no round ever happens?
  4. 04Has counsel written the perimeter in a memo you can file?
  5. 05Which geography is actually locked, and which is a hope?
  6. 06Is the waitlist demand for a product, or a queue for a coin?

Structure

How money would actually move.

If this company raises, it raises with its own counsel and providers. The waitlist is a product list. It is not a round, a book, or an allocation on RCA Pad. We do not take a cut.

Who can decide

Elena Okoye (Chief executive) will take a 30-minute call and decide budget. If the only person who can accept “we are not opening a sale” is a silent co-founder in another time zone, this company would not be on the board.

If the first customer renews, the adapter work pays for itself. If they do not, Fennel Mark is a services firm with a slide. The twelve-month test is renewal, not waitlist.
