Fennel Vault

Counsel is live. The waitlist is a short list. The public sale is not.

Heat 27. Window 21d. If you are going to read one NAV ops company, this is the one.

Fennel Vault — An operational layer for funds: NAV events, share-class records, books an AIFM can defend. The administrator remains the administrator. This is co-sourced infrastructure, not a tokenised fund on a public board.

Screened, not yet in sprint. Treat every number as provisional. Calendar access is not automatic.

A year from now this will be an obvious company or a missed one. The window decides which.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Bps of AUM on the books

The wedge is staffing: administrators cannot hire the close they promised allocators.

Why the desk took it

Early — still a question.

The admin of record is named, even if redacted here.

Traction

No paying pilot on the public file.

Founded 2025, headquartered in Dublin. No named paying pilot on the file yet — that is the first question. 2 nodes or connected surfaces reported. Desk diligence score 70/100. Four origination desks posting into a closed tape. Architecture says keys / title / NAV liability sit with a named licensed party — not Fennel Vault.

Next 12 months

No public ‘buy the token’ language anywhere they touch.

SS&C and Apex are the admin. This is the event layer they can defend. Annual software against an ops cost the board can see. Switching cost is the record, not the brand.

The brief

How a serious reader should hold this.

The first sentence Hiro Adeyemi would not let us publish was the exciting one. What remains is slower — and scarcer: Fennel Vault DAC selling NAV ops as software, from Dublin, to a buyer who already pays someone else to do this badly. That buyer is named. You are not, yet.

Fennel Vault exists because the incumbent brand will not staff the unglamorous middle of NAV ops. The product is that middle. The token, if it ever exists, is not the product — and is not for sale here. The people in the queue already understood the difference.

US traffic was taken off the public surfaces in the first working session. Fennel Vault did not argue. Adult companies do not costume a US offering.

From the founder

US persons are outside the audience. A form that asks “are you accredited?” without verification is not an exemption.

From the screen

The legal source of truth stays with the incumbent register, admin, or custodian. Fennel Vault does not attest to its own facts.

From ops

We will not describe this as Reg CA-compliant, MiCA-stickered, or FCA-authorised. Issuers retain their own counsel in every relevant jurisdiction.

The window

Miss this and you read the archive.

Attention is the scarce asset. 0 asks this week are already spending it.

The comment period is not a path. This company is priced as if that is already true.

The scarce thing is not the company. It is the next 21 days of a live conversation.

The bet

Why this company exists.

The wedge is staffing: administrators cannot hire the close they promised allocators.

The wedge is staffing: administrators cannot hire the close they promised allocators.

Allocators want faster marks. Administrators cannot staff that with people. A dual-record (their books + this event) is how they sleep.

Fund administration is a fee business measured in basis points of AUM. A faster close is retained business.

Versus the field

L2 wrappers are cheaper. They are also a different perimeter — and declined here. Fennel Vault is priced as software against an invoice that already exists.

The live path is Not offering — locked. Proposed Regulation Crypto Assets is not treated as a calendar slot. Build as if it never opens.

How it works

  1. 01Administrator remains source of truth
  2. 02Events (NAV, subscription, share-class) are signed and timestamped
  3. 03Investors and auditors query what they are allowed to see
  4. 04The fund unit is not listed here as a token you can buy
  5. 05Investors and auditors query only what they are allowed to see
  6. 06Exceptions post back into the customer’s existing case system — no side spreadsheet.

If they raise

Where the money would actually go.

Not a token float. A budget against work. RCA Pad still takes 0% of proceeds.

  1. SatDarkNo creators. No threads. Restricted geos stay dark.
  2. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  3. MonClaimsEvery public sentence checked against the register. Anything extra is unpublished.
  4. TueExceptionsOvernight breaks post back into the customer’s case system. No side book.

The wedge

Why this one, not the other one.

They sell
Bps of AUM on the books
Who pays
Four origination desks posting into a closed tape.
Unit economics
Annual software against an ops cost the board can see. Switching cost is the record, not the brand.
Moat on file
Auditor has seen the dual-record and not walked out.
Switching cost
The customer’s auditor has seen this book. Switching means a new auditor conversation.

Why we listed it
The admin of record is named, even if redacted here.

Next twelve months

What has to be true.

No public ‘buy the token’ language anywhere they touch.

Architecture says keys / title / NAV liability sit with a named licensed party — not Fennel Vault.

If they raise, it is to hire the remaining certifications and the second market — not to float a coin.

Risks

What can kill it.

The one that actually kills it

The named customer is a letter of intent

Pilots that cannot be named, even redacted, are theatre. One paying seat that an auditor has seen is worth more than a waitlist of a short list.

Unit token

A share-class token sold to the public is a securities offering. This pad will not run that as a sale.

Admin of record

If the admin has not signed, this is a shadow book. Shadow books do not survive an audit.

NAV liability

Who is wrong when the number is wrong? That sentence has to exist.

Distribution

Using this layer as a public subscription journey is a different file — and usually the wrong house.

Shadow book

If the administrator has not signed, Fennel Vault is a copy of a spreadsheet. Copies do not survive the audit.

Incumbent feature

The administrator, CCP, scheme or custodian can ship this as a checkbox. Fennel Vault has to be cheaper or faster before that happens.

Ask these next

  1. 01What does renewal look like if no round ever happens?
  2. 02What happens if a founder later wants a public token?
  3. 03Is the waitlist demand for a product, or a queue for a coin?
  4. 04Which incumbent can copy this in a quarter, and what would they have to migrate?
  5. 05Where do keys, title, or NAV liability sit — and is that person licensed?
  6. 06Who can unpublish a public sentence in 24 hours, by name?

Who can decide

The technical founder is on the record as engineering. Contractors in undisclosed jurisdictions are written down as a fact, not hidden. Facts can be managed. Hiding them is how companies die in diligence.

If the first customer renews, the adapter work pays for itself. If they do not, Fennel Vault is a services firm with a slide. The twelve-month test is renewal, not waitlist.
