a few days until this conversation is history.

Closed files are history. Live files have a clock. Fennel Works has a few days.

Fennel Works — Accounting and proof layers for vaults that already hold assets for known clients. zk or otherwise, the point is a statement a counterparty can verify — not a public yield product.

In a 14-day diligence sprint (day 6). This is when the story, the customers and the legal path get written down — or the file stops.

Closed stamp is coming. a few days is the number. There is not a second number.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Per statement

The wedge is 2022: allocators asked for proof and got demos.

Why the desk took it

A real job, not a ticker.

They called zk a method in the application. Correct.

Traction

One named pilot (redacted).

Founded 2024, headquartered in Vilnius. One named pilot on file (redacted in public). 5 nodes or connected surfaces reported. Desk diligence score 76/100. Sprint day 6 of 14. Four origination desks posting into a closed tape. No public APY, no public book, no ‘how to buy’ on any surface we could find.

Next 12 months

Production book, not a demo circuit.

Public vault tokens are the thing this is not. Seat plus event. If they ever attach a token as the unit of account, the file stops.

The brief

How a serious reader should hold this.

The first sentence Hiro Khan would not let us publish was the exciting one. What remains is slower — and scarcer: Fennel Works Ltd selling Vault infrastructure as software, from Vilnius, to a buyer who already pays someone else to do this badly. That buyer is named. You are not, yet.

Fennel Works exists because the incumbent brand will not staff the unglamorous middle of Vault infrastructure. The product is that middle. The token, if it ever exists, is not the product — and is not for sale here. The people in the queue already understood the difference.

A sentence went public and came down in under an hour. Hiro Khan treated the kill as an operating skill, not a PR event. Files that cannot do this do not stay listed.

From the screen

Fixed fee. Deposit to start. 0% of proceeds. Token-only pay is declined. Percentage of raise is declined.

From the founder

The legal source of truth stays with the incumbent register, admin, or custodian. Fennel Works does not attest to its own facts.

From counsel

We will not describe this as Reg CA-compliant, MiCA-stickered, or FCA-authorised. Issuers retain their own counsel in every relevant jurisdiction.

The window

Miss this and you read the archive.

Miss a few days and you are explaining to your IC why you read it after it closed.

0% of proceeds. Fixed fee. The incentive is a clean campaign — not a raise.

We do not allocate. We do not take a cut. We will not hold the window open for you.

Window

Closed

Closed. History only — not a place to buy.

Renewal is the round. If nobody renews, there is no company. A token would not fix that.

The bet

Why this company exists.

The wedge is 2022: allocators asked for proof and got demos.

The wedge is 2022: allocators asked for proof and got demos.

Allocators asked for proof after 2022. Labs answered with demos. The first vault accounting that an auditor will sign is a business.

Middle-office spend at alternative managers is a budget that survived the last cycle.

Versus the field

The incumbent brand sells the relationship. Fennel Works sells the job the brand will not staff. A protocol pitch is the thing this company has already refused. Open-source looks free until the auditor asks who attests.

Named: Vilnius. Off-limits: Public residual claims, United States. A US person hearing an offering communication is a US problem even if the company sits in Vilnius. Blocking an IP and taking a US Telegram admin is not a block.

How it works

  1. 01Positions are accounted in a book the manager already runs
  2. 02A proof or extract is produced for a named counterparty
  3. 03Yield is not marketed to the public on this pad
  4. 04zk, if present, is a method — not a ticker
  5. 05A proof or extract is produced for a named counterparty only
  6. 06The legal source of truth stays with the incumbent register, admin, or custodian.

If they raise

Where the money would actually go.

Not a token float. A budget against work. RCA Pad still takes 0% of proceeds.

  • Control environment

    32%

Keeping the public story from running ahead of the claims register.

  • Counsel & perimeter

    28%

Dual-control drills, key ceremonies, and the person who owns them.

  • Certifications & adapters

    19%

A counsel memo that can survive a later reader.

  • Named operators

    21%

Adapter work against the incumbent register, admin, or custodian.

Operating week

What “in market” actually looks like.

  1. FriKill switchRehearse unpublish in 24 hours. If it takes a committee, it is not a switch.
  2. TueExceptionsOvernight breaks post back into the customer’s case system. No side book.
  3. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  4. SunOwnersWho can decide messaging and budget on a recorded line. If the answer is nobody, stop.

The wedge

Why this one, not the other one.

They sell
Per statement
Who pays
Four origination desks posting into a closed tape.
Unit economics
Seat plus event. If they ever attach a token as the unit of account, the file stops.
Moat on file
Named custodian. Keys are not at the startup.
Switching cost
The customer’s auditor has seen this book. Switching means a new auditor conversation.
Vs the comps
Public vault tokens are the thing this is not.
Why we listed it
They called zk a method in the application. Correct.

Next twelve months

What has to be true.

Production book, not a demo circuit.

No public APY, no public book, no ‘how to buy’ on any surface we could find.

Growth money would extend the record to a second geography, still permissioned.

Traction

What you can verify today.

  • Operating notes for zk testnet
  • No token contract listed as a public sale
  • Pilot letters on file, identities redacted
  • Vilnius is the operating centre
  • The waitlist, if any, is a product list — not a book
  • RCA Pad does not take a cut of proceeds

Risks

What can kill it.

The one that actually kills it

Counsel is a slide

Unnamed counsel is how companies die in diligence. Not offering — locked has to be a memo you can file, not a slogan on the hero.

Yield product

If the landing page is APY, this is a different, usually unlicensed, business.

Proof theatre

A zk circuit of a fake book is still a fake book.

Custodian

Who holds the keys? If it is the startup, that is custody.

Audit

No auditor, no statement. Demo is not diligence.

Proof theatre

A zk circuit of a fake book is still a fake book. Fennel Works has to prove the real one.

Single-customer gravity

If the first named buyer is also the only buyer, Fennel Works is a services shop with a ledger. Ask for the second.

Ask these next

  1. 01If RCA Pad disappeared tomorrow, could the customer still run the job?
  2. 02Who can unpublish a public sentence in 24 hours, by name?
  3. 03Which incumbent can copy this in a quarter, and what would they have to migrate?
  4. 04Who is the first named paying customer — not a letter of intent?
  5. 05Where do keys, title, or NAV liability sit — and is that person licensed?
  6. 06Has counsel written the perimeter in a memo you can file?

Structure

How money would actually move.

Sprint is diligence, not a raise. A pack at the end is a file the company can take to its own lawyers and investors. RCA Pad does not complete funding.

Who can decide

The technical founder is on the record as Markets. Contractors in undisclosed jurisdictions are written down as a fact, not hidden. Facts can be managed. Hiding them is how companies die in diligence.

A second counterparty writing into the record is the only network effect that counts. One customer is a consultancy. Two is a market.

Not a subscription

This is not a sale page.

Sprint is diligence, not a raise. A pack at the end is a file the company can take to its own lawyers and investors. RCA Pad does not complete funding. Founders who want a pack like this one apply. Readers who want the company talk to the company — not to this pad.
