Gorse Quay

If you read one Credit covenants company this quarter, make it this one.

Gorse Quay survived the screen. Most of Credit covenants did not. That is not a slogan. It is the decline pile.

Gorse Quay — A system of record for private-credit funds and desks: tapes, RFQs, or covenants that update when a borrower files. The buyers already have a book. This is plumbing, not a venue that matches strangers.

Screened, not yet in sprint. Treat every number as provisional. Calendar access is not automatic.

Heat 25 of 99. Hot windows do not stay hot. They close.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Administrator co-source

The wedge is the shared drive: marks, covenants and RFQs still live in email.

Why the desk took it

Early — still a question.

They asked us to kill ‘marketplace’ in every sentence. We did.

Traction

One named pilot (redacted).

Founded 2023, headquartered in Brussels. One named pilot on file (redacted in public). 1 nodes or connected surfaces reported. Desk diligence score 65/100. A transfer agent willing to consume a revoke in production. A redacted engagement letter landed in week one. That is why the desk took the meeting.

Next 12 months

One administrator consuming marks daily.

A DeFi lending pool is the opposite company. Per-event pricing so a pilot can start without a transformation programme.

The brief

How a serious reader should hold this.

The first sentence Lars Moreau would not let us publish was the exciting one. What remains is slower — and scarcer: Gorse Quay Ltd selling Credit covenants as software, from Brussels, to a buyer who already pays someone else to do this badly. That buyer is named. You are not, yet.

Gorse Quay exists because the incumbent brand will not staff the unglamorous middle of Credit covenants. The product is that middle. The token, if it ever exists, is not the product — and is not for sale here. The people in the queue already understood the difference.

US traffic was taken off the public surfaces in the first working session. Gorse Quay did not argue. Adult companies do not costume a US offering.

From counsel

A dual-control drill exists on paper. Production evidence is the next artefact, not a tweet.

From the screen

The legal source of truth stays with the incumbent register, admin, or custodian. Gorse Quay does not attest to its own facts.

From ops

US persons are outside the audience. A form that asks “are you accredited?” without verification is not an exemption.

The window

Miss this and you read the archive.

When the heat drops, the named customer is still named — they just stop taking new calls.

The incumbent copy takes a year. The named customer is already writing into this record.

The scarce thing is not the company. It is the next a few days of a live conversation.

The bet

Why this company exists.

The wedge is the shared drive: marks, covenants and RFQs still live in email.

The wedge is the shared drive: marks, covenants and RFQs still live in email.

Allocators want daily marks and covenant visibility. Banks want to originate without building a chain team. The first honest tape that does not pretend to be an exchange will be paid for as software.

Private credit AUM is measured in trillions. The software take-rate is small. The switching cost, once a tape is the record, is not.

Versus the field

The incumbent brand sells the relationship. Gorse Quay sells the job the brand will not staff. A protocol pitch is the thing this company has already refused. Open-source looks free until the auditor asks who attests.

The live path is Undetermined — not a path. Proposed Regulation Crypto Assets is not treated as a calendar slot. Build as if it never opens.

How it works

  1. 01A loan or covenant event is written once
  2. 02Permissioned counterparties see what they are allowed to see
  3. 03Marks and RFQs stay inside named desks
  4. 04No public order book, no retail
  5. 05Default and amendment events are first-class, not a PDF in a side channel
  6. 06Kill of a public sentence is an hour, not a committee.

  1. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  2. TueExceptionsOvernight breaks post back into the customer’s case system. No side book.

The wedge

Why this one, not the other one.

They sell
Administrator co-source
Who pays
A transfer agent willing to consume a revoke in production.
Unit economics
Per-event pricing so a pilot can start without a transformation programme.
Moat on file
Four origination desks already post into a closed tape.
Switching cost
Scheme maps, ISO, LMA language, registry adapters — eighteen months of unglamorous work.
Vs the comps
A DeFi lending pool is the opposite company.
Why we listed it
They asked us to kill ‘marketplace’ in every sentence. We did.

Next twelve months

What has to be true.

One administrator consuming marks daily.

A redacted engagement letter landed in week one. That is why the desk took the meeting.

Capital would fund the adapter work and a named counsel memo, not a public sale.

Risks

What can kill it.

The one that actually kills it

Counsel is a slide

Unnamed counsel is how companies die in diligence. Undetermined — not a path has to be a memo you can file, not a slogan on the hero.

Marketplace slip

The moment this looks like a public book, it is a venue. This pad will not list that.

Data rights

Who owns the tape when a fund leaves? If that is unsigned, the enterprise value is a conversation.

Credit cycle

A default cluster will test whether the product is a record or a reputation.

Retail

Retail is prohibited. Any ‘access token’ story is a different company.

Data rights on exit

If a fund leaves and the tape stays, who owns the history? Unsigned, the enterprise value is a conversation.

Single-customer gravity

If the first named buyer is also the only buyer, Gorse Quay is a services shop with a ledger. Ask for the second.

Ask these next

  1. 01Which geography is actually locked, and which is a hope?
  2. 02Is the waitlist demand for a product, or a queue for a coin?
  3. 03Who can unpublish a public sentence in 24 hours, by name?
  4. 04Which incumbent can copy this in a quarter, and what would they have to migrate?
  5. 05Has counsel written the perimeter in a memo you can file?
  6. 06What does renewal look like if no round ever happens?

Who can decide

Lars Moreau (Chief executive) will take a 30-minute call and decide budget. If the only person who can accept “we are not opening a sale” is a silent co-founder in another time zone, this company would not be on the board.

Year two is a second named market and the remaining certifications — still permissioned. It is not a public book. A public book would be a different company.
