Counsel has a live path. The waitlist is 4,143. This pad still takes 0% of proceeds.

Grain Line — An operational layer for funds: NAV events, share-class records, books an AIFM can defend. The administrator remains the administrator. This is co-sourced infrastructure, not a tokenised fund on a public board.

Live campaign. 4,143 on the product waitlist — that is demand, not an allocation.

A year from now this will be an obvious company or a missed one. The window decides which.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Per NAV event

Shadow books do not survive an audit. This only ships if the admin signs.

Why the desk took it

A real job, not a ticker.

Unit-as-token was refused in notes. We will not reverse that.

Traction

3 named pilots (redacted).

Founded 2021, headquartered in Zurich. 3 named pilots on file (identities redacted in public). 4,143 on the waitlist, gated — product demand, not a book built. 21 nodes or connected surfaces reported. Desk diligence score 91/100. An AIFM whose auditor has seen the dual-record. Counsel is named, even if the memo is still a draft. Unnamed counsel is how files die.

Next 12 months

Daily NAV in one live fund.

SS&C and Apex are the admin. This is the event layer they can defend. They sell a fee the customer already pays a slower vendor for. TAM is that invoice, not a token float.

The brief

How a serious reader should hold this.

In Zurich, the person who signs the monthly pack already has a vendor. Grain Line is not asking them to believe in a token. It is asking them to move one job — the one that currently lives in a spreadsheet, a fax, or a person who is about to retire — onto a record that can be shown to counsel. The queue to read that record is already not empty.

Read this as an operating company, not a round. Counsel has a posture: Switzerland · counsel-named. Restricted markets stay dark. RCA Pad takes 0% if they ever raise. That combination is why inbound did not need a ticker.

A dual-control drill sits on paper. Keys, title, or NAV liability sit with a named licensed party — not Grain Line. The architecture says so. We have not watched the drill live. That is the next ask, not a slogan.

From ops

Fixed fee. Deposit to start. 0% of proceeds. Token-only pay is declined. Percentage of raise is declined.

From the pilot

A dual-control drill exists on paper. Production evidence is the next artefact, not a tweet.

From the founder

The legal source of truth stays with the incumbent register, admin, or custodian. Grain Line does not attest to its own facts.

The window

Miss this and you read the archive.

If the window closes you still have the pack — as history. Not as a live conversation.

A supervisor is already forcing a perimeter. Houses that pick software over a coin will buy this now.

The scarce thing is not the company. It is the next a few days of a live conversation.

The bet

Why this company exists.

Shadow books do not survive an audit. This only ships if the admin signs.

Shadow books do not survive an audit. This only ships if the admin signs.

Allocators want faster marks. Administrators cannot staff that with people. A dual-record (their books + this event) is how they sleep.

Fund administration is a fee business measured in basis points of AUM. A faster close is retained business.

Versus the field

L2 wrappers are cheaper. They are also a different perimeter — and declined here. Grain Line is priced as software against an invoice that already exists.

Named: Switzerland, EEA professional. Off-limits: Public residual claims, United States. A US person hearing an offering communication is a US problem even if the company sits in Zurich. Blocking an IP and taking a US Telegram admin is not a block.

How it works

  1. 01Administrator remains source of truth
  2. 02Events (NAV, subscription, share-class) are signed and timestamped
  3. 03Investors and auditors query what they are allowed to see
  4. 04The fund unit is not listed here as a token you can buy
  5. 05Investors and auditors query only what they are allowed to see
  6. 06Exceptions post back into the customer’s existing case system — no side spreadsheet.

Operating week

What “in market” actually looks like.

  1. MonClaimsEvery public sentence checked against the register. Anything extra is unpublished.
  2. FriKill switchRehearse unpublish in 24 hours. If it takes a committee, it is not a switch.
  3. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  4. WedCounselPerimeter diffs. If the site drifted from the memo, the site moves — not the memo.

The wedge

Why this one, not the other one.

They sell
Per NAV event
Who pays
An AIFM whose auditor has seen the dual-record.
Unit economics
They sell a fee the customer already pays a slower vendor for. TAM is that invoice, not a token float.
Moat on file
Auditor has seen the dual-record and not walked out.
Switching cost
Scheme maps, ISO, LMA language, registry adapters — eighteen months of unglamorous work.
Vs the comps
SS&C and Apex are the admin. This is the event layer they can defend.
Why we listed it
Unit-as-token was refused in notes. We will not reverse that.

What has to be true.

Daily NAV in one live fund.

Counsel is named, even if the memo is still a draft. Unnamed counsel is how files die.

Growth money would extend the record to a second geography, still permissioned.

Traction

What you can verify today.

  • Operating notes for Fund-admin adapters
  • No token contract listed as a public sale
  • Pilot letters on file, identities redacted
  • Zurich is the operating centre
  • The waitlist, if any, is a product list — not a book
  • RCA Pad does not take a cut of proceeds

Risks

What can kill it.

The one that actually kills it

A second geography without a lock

Extending the record into a market that is still restricted is how a clean Zurich story becomes a fact pattern. The restricted list exists for a reason: Public residual claims, United States.

Unit token

A share-class token sold to the public is a securities offering. This pad will not run that as a sale.

Admin of record

If the admin has not signed, this is a shadow book. Shadow books do not survive an audit.

NAV liability

Who is wrong when the number is wrong? That sentence has to exist.

Distribution

Using this layer as a public subscription journey is a different file — and usually the wrong house.

Shadow book

If the administrator has not signed, Grain Line is a copy of a spreadsheet. Copies do not survive the audit.

Token relapse

A later round that wants a public token puts Grain Line in a different perimeter. The file treats that as a hard stop.

Ask these next

  1. 01If RCA Pad disappeared tomorrow, could the customer still run the job?
  2. 02Where do keys, title, or NAV liability sit — and is that person licensed?
  3. 03What does renewal look like if no round ever happens?
  4. 04Which incumbent can copy this in a quarter, and what would they have to migrate?
  5. 05Who can unpublish a public sentence in 24 hours, by name?
  6. 06Who is the first named paying customer — not a letter of intent?

Structure

How money would actually move.

If this company raises, it raises with its own counsel and providers. The waitlist is a product list. It is not a round, a book, or an allocation on RCA Pad. We do not take a cut.

Who can decide

Owen Berg (Chief executive) will take a 30-minute call and decide budget. If the only person who can accept “we are not opening a sale” is a silent co-founder in another time zone, this company would not be on the board.

If the first customer renews, the adapter work pays for itself. If they do not, Grain Line is a services firm with a slide. The twelve-month test is renewal, not waitlist.
