If this pad disappeared tomorrow, the customer could still run the job. That is why they are here.

Trow — An attestation graph: a fund or investor proves one fact (accredited, name, share-class) to a transfer agent or administrator without handing over the whole file. Selective disclosure is the product.

Screened, not yet in sprint. Treat every number as provisional. Calendar access is not automatic.

Most Transfer agency applications this quarter were declined. You are looking at one that was not.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

TA integration

The wedge is repeating KYC at every gate of the same allocator.

Why the desk took it

Early — still a question.

US retail identity was taken off before we asked.

Traction

No paying pilot on the public file.

Founded 2021, headquartered in Cardiff. No named paying pilot on the file yet — that is the first question. 2 nodes or connected surfaces reported. Desk diligence score 69/100. A coverholder or carrier running one binder on this record. They killed their own ‘token as fee’ sentence before we asked. Rare, and it scored.

Next 12 months

One TA consuming revoke in production.

A ‘passport token’ is usually a security in costume. They win if they are cheaper than the internal build, not cheaper than a protocol.

The brief

How a serious reader should hold this.

The first sentence Nadia Nair would not let us publish was the exciting one. What remains is slower — and scarcer: Trow Ltd selling Transfer agency as software, from Cardiff, to a buyer who already pays someone else to do this badly. That buyer is named. You are not, yet.

Trow exists because the incumbent brand will not staff the unglamorous middle of Transfer agency. The product is that middle. The token, if it ever exists, is not the product — and is not for sale here. The people in the queue already understood the difference.

On a Tuesday in Cardiff, an exception posts back into the customer’s existing case system. Nobody opens a side spreadsheet. That is the product: the night someone in ops does not stay late.

From the screen

US persons are outside the audience. A form that asks “are you accredited?” without verification is not an exemption.

From the founder

Fixed fee. Deposit to start. 0% of proceeds. Token-only pay is declined. Percentage of raise is declined.

From ops

This communication is not an offer. Participation mechanics do not exist on this pad. If a later reader treats the public stack as the offer, the stack was already wrong.

The window

Miss this and you read the archive.

The next Transfer agency company on this board will not have this waitlist, this HQ, or this counsel posture.

0% of proceeds. Fixed fee. The incentive is a clean campaign — not a raise.

Open the diligence or watch it close. There is not a third option that still counts as early.

Trow

A generalist vendor copies the slide. They cannot copy the named record.

The bet

Why this company exists.

The wedge is repeating KYC at every gate of the same allocator.

The wedge is repeating KYC at every gate of the same allocator.

Transfer agents and AIFMs are being asked for faster onboarding without becoming identity companies. Attestations they can revoke are the compromise.

Fund onboarding cost is a known line item. A 20–40% cut in cycle time is a budget, not a vision deck.

Versus the field

The incumbent brand sells the relationship. Trow sells the job the brand will not staff. A protocol pitch is the thing this company has already refused. Open-source looks free until the auditor asks who attests.

Cardiff being the city does not make local retail a default audience. Communications capable of inducing investment activity still have a promotions problem.

How it works

  1. 01A fact is attested by a party the recipient already trusts
  2. 02The holder discloses only the field requested
  3. 03The rest of the file stays dark
  4. 04Revocation is a first-class event
  5. 05The recipient never sees the rest of the file — selective disclosure is enforced, not promised
  6. 06Kill of a public sentence is an hour, not a committee.

If they raise

Where the money would actually go.

Not a token float. A budget against work. RCA Pad still takes 0% of proceeds.

  • Control environment

    36%

Keeping the public story from running ahead of the claims register.

  • Named operators

    28%

A counsel memo that can survive a later reader.

  • Counsel & perimeter

    14%

The remaining certifications and the second named market.

  • Claims & campaign ops

    22%

Adapter work against the incumbent register, admin, or custodian.

Operating week

What “in market” actually looks like.

  1. TueExceptionsOvernight breaks post back into the customer’s case system. No side book.
  2. WedCounselPerimeter diffs. If the site drifted from the memo, the site moves — not the memo.
  3. MonClaimsEvery public sentence checked against the register. Anything extra is unpublished.
  4. FriKill switchRehearse unpublish in 24 hours. If it takes a committee, it is not a switch.

The wedge

Why this one, not the other one.

They sell
TA integration
Who pays
A coverholder or carrier running one binder on this record.
Unit economics
They win if they are cheaper than the internal build, not cheaper than a protocol.
Moat on file
Revoke has been tested against a live register.
Switching cost
Scheme maps, ISO, LMA language, registry adapters — eighteen months of unglamorous work.
Vs the comps
A ‘passport token’ is usually a security in costume.
Why we listed it
US retail identity was taken off before we asked.

Next twelve months

What has to be true.

One TA consuming revoke in production.

They killed their own ‘token as fee’ sentence before we asked. Rare, and it scored.

They have not asked us to run a sale. That ask would close the file.

Traction

  • Architecture paper — no production customer on the public file
  • No token contract listed as a public sale
  • Named founder; customer still a conversation
  • Cardiff is the operating centre
  • The waitlist, if any, is a product list — not a book
  • RCA Pad does not take a cut of proceeds

Risks

What can kill it.

The one that actually kills it

The named customer is a letter of intent

Pilots that cannot be named, even redacted, are theatre. One paying seat that an auditor has seen is worth more than a waitlist of a short list.

Who attests

If the attester is the company itself, this is a database with extra steps.

Portability theatre

A graph nobody else reads is a PDF with a hash.

US

US retail identity products are a different statute. Many of these files keep the US off.

Utility token

Paying for attestations in a native token is usually a securities problem in costume.

Self-attestation

If Trow is the attester, this is a database with extra steps. The graph only matters if someone else signs.

Path silence

If counsel will not name a path and not-offering is not locked, heated waitlist copy is an accidental offering.

Ask these next

  1. 01Who is the first named paying customer — not a letter of intent?
  2. 02Has counsel written the perimeter in a memo you can file?
  3. 03Which incumbent can copy this in a quarter, and what would they have to migrate?
  4. 04Where do keys, title, or NAV liability sit — and is that person licensed?
  5. 05Which geography is actually locked, and which is a hope?
  6. 06Is the waitlist demand for a product, or a queue for a coin?

Who can decide

Nadia Nair (Chief executive) will take a 30-minute call and decide budget. If the only person who can accept “we are not opening a sale” is a silent co-founder in another time zone, this company would not be on the board.

If the first customer renews, the adapter work pays for itself. If they do not, Trow is a services firm with a slide. The twelve-month test is renewal, not waitlist.
