Umber Span

Window closed. a short list asked while it was live. You are reading history.

US was taken off the public stack on day one. Adult companies do that. Then the waitlist filled anyway.

Umber Span — A routing layer in front of payment firms that already hold licences. One API picks the rail (SEPA, cards, local schemes) and can present a wallet-like checkout. The wallet is the interface. It is not a coin.

Closed on this board. Any capital event was completed with the issuer’s own providers. RCA Pad took 0%.

Closed. The live conversation is over. The pack remains as archive.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Annual PSP seat

They sell a night’s sleep to compliance — the AA layer stays a lab until counsel says otherwise.

Why the desk took it

A real job, not a ticker.

US was taken off the file in the first hour. That is adult.

Traction

3 named pilots (redacted).

Founded 2023, headquartered in Geneva. 3 named pilots on file (identities redacted in public). 21 nodes or connected surfaces reported. Desk diligence score 90/100. A treasurer at a bank that already settles — not a crypto-native desk. Architecture says keys / title / NAV liability sit with a named licensed party — not Umber Span.

Next 12 months

Counsel memo on the AA perimeter, or the UX layer stays dark.

A L2 payments coin is the thing this file has already refused. They win if they are cheaper than the internal build, not cheaper than a protocol.

The brief

How a serious reader should hold this.

The first sentence Eva Okoye would not let us publish was the exciting one. What remains is slower — and scarcer: Umber Span Ltd selling Payments orchestration as software, from Geneva, to a buyer who already pays someone else to do this badly. That buyer is named. You are not, yet.

The bet is narrow. A named Geneva buyer already has budget for this invoice. Umber Span wins if it is cheaper than the internal build and cleaner than the protocol pitch. It loses if a founder later wants a public book. The window is the time you have to decide which it is.

On a Tuesday in Geneva, an exception posts back into the customer’s existing case system. Nobody opens a side spreadsheet. That is the product: the night someone in ops does not stay late.

From counsel

Fixed fee. Deposit to start. 0% of proceeds. Token-only pay is declined. Percentage of raise is declined.

From ops

A dual-control drill exists on paper. Production evidence is the next artefact, not a tweet.

From the screen

We will not describe this as Reg CA-compliant, MiCA-stickered, or FCA-authorised. Issuers retain their own counsel in every relevant jurisdiction.

The window

Miss this and you read the archive.

A later reader gets the same PDF. They do not get the same access.

Restricted markets stay dark. Named markets are live. That discipline is the scarce thing.

Read it once, properly, while the number is still green. Then decide.

The bet

Why this company exists.

They sell a night’s sleep to compliance — the AA layer stays a lab until counsel says otherwise.

They sell a night’s sleep to compliance — the AA layer stays a lab until counsel says otherwise.

MiCA is forcing PSPs to choose a perimeter. Houses that will not become CASPs still need programmable checkout. The ones that pick software over a coin will buy this. The ones that want a token will be declined here.

PSP orchestration in Europe is a multi-billion software market. Buyers already pay for routing. A token would not make the invoice larger; it would make the licence harder.

Versus the field

L2 wrappers are cheaper. They are also a different perimeter — and declined here. Umber Span is priced as software against an invoice that already exists.

Geneva being the city does not make local retail a default audience. Communications capable of inducing investment activity still have a promotions problem.

How it works

  1. 01Payer or merchant hits a single checkout API
  2. 02The router selects a licensed rail the PSP already runs
  3. 03Account-abstraction is an optional UX layer (currently testnet)
  4. 04Settlement lands in the PSP’s existing accounts — no new token
  5. 05Exceptions (chargebacks, scheme rejects) post back into the PSP’s existing case system
  6. 06The legal source of truth stays with the incumbent register, admin, or custodian.

  1. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  2. WedCounselPerimeter diffs. If the site drifted from the memo, the site moves — not the memo.

The wedge

Why this one, not the other one.

They sell
Annual PSP seat
Who pays
A treasurer at a bank that already settles — not a crypto-native desk.
Unit economics
They win if they are cheaper than the internal build, not cheaper than a protocol.
Moat on file
Scheme certifications already in motion with two processors.
Switching cost
Once the record is the record, the incumbent copy has to migrate history. That is the year.
Vs the comps
A L2 payments coin is the thing this file has already refused.
Why we listed it

Next twelve months

What has to be true.

Counsel memo on the AA perimeter, or the UX layer stays dark.

Architecture says keys / title / NAV liability sit with a named licensed party — not Umber Span.

A round, if any, sits with their providers. This pad does not take the order.

Risks

What can kill it.

The one that actually kills it

Counsel is a slide

Unnamed counsel is how companies die in diligence. Geneva · closed private round has to be a memo you can file, not a slogan on the hero.

Token temptation

If the wallet layer is ever described as a means of payment, the product becomes an e-money or CASP problem. This file treats that as a hard stop.

Perimeter

A supervisor can still read account-abstraction as issuing. Until counsel names the path, treat the AA layer as a lab.

Customer concentration

A handful of PSP design partners can stall the company if they slip. Ask who is paying, not who is ‘interested’.

United States

The US is out of scope on this file. That is deliberate. It also caps the TAM.

Scheme freeze

A card scheme can kill the router without talking to Umber Span. Concentration in one scheme is existential.

Token relapse

A later round that wants a public token puts Umber Span in a different perimeter. The file treats that as a hard stop.

Ask these next

  1. 01Is the waitlist demand for a product, or a queue for a coin?
  2. 02Who can unpublish a public sentence in 24 hours, by name?
  3. 03What does renewal look like if no round ever happens?
  4. 04Who is the first named paying customer — not a letter of intent?
  5. 05Which incumbent can copy this in a quarter, and what would they have to migrate?
  6. 06If RCA Pad disappeared tomorrow, could the customer still run the job?

Who can decide

Eva Okoye (Chief executive) will take a 30-minute call and decide budget. If the only person who can accept “we are not opening a sale” is a silent co-founder in another time zone, this company would not be on the board.

If the first customer renews, the adapter work pays for itself. If they do not, Umber Span is a services firm with a slide. The twelve-month test is renewal, not waitlist.
