Umber Well

a few days until this conversation is history.

They killed 13 public sentences before we listed them. Thin files do not get that far.

Umber Well — A system of record for private-credit funds and desks: tapes, RFQs, or covenants that update when a borrower files. The buyers already have a book. This is plumbing, not a venue that matches strangers.

In a 14-day diligence sprint (day 2). This is when the story, the customers and the legal path get written down — or the file stops.

A year from now this will be an obvious company or a missed one. The window decides which.

Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

The wedge

Desk seat

The wedge is the shared drive: marks, covenants and RFQs still live in email.

Why the desk took it

A real job, not a ticker.

A redacted facility list landed in week one.

Traction

One named pilot (redacted).

Founded 2026, headquartered in Vilnius. One named pilot on file (redacted in public). 7 nodes or connected surfaces reported. Desk diligence score 83/100. Sprint day 2 of 14. A treasurer at a bank that already settles — not a crypto-native desk. Architecture says keys / title / NAV liability sit with a named licensed party — not Umber Well.

Next 12 months

Ten live facilities or this is still a lab.

A DeFi lending pool is the opposite company. They win if they are cheaper than the internal build, not cheaper than a protocol.

The brief

How a serious reader should hold this.

The decline pile in Private credit tape is not a rumour. It is how this board stays readable. Umber Well is what survived. That is the sell.

The bet is narrow. A named Vilnius buyer already has budget for this invoice. Umber Well wins if it is cheaper than the internal build and cleaner than the protocol pitch. It loses if a founder later wants a public book. The window is the time you have to decide which it is.

US traffic was taken off the public surfaces in the first working session. Umber Well did not argue. Adult companies do not costume a US offering.

From the screen

Fixed fee. Deposit to start. 0% of proceeds. Token-only pay is declined. Percentage of raise is declined.

From counsel

A dual-control drill exists on paper. Production evidence is the next artefact, not a tweet.

From the pilot

This communication is not an offer. Participation mechanics do not exist on this pad. If a later reader treats the public stack as the offer, the stack was already wrong.

The window

Miss this and you read the archive.

Founders who want a pack this tight apply. Readers who wait get a closed stamp.

Budget exists on a line the board can see. That is why the window is this quarter.

Read it once, properly, while the number is still green. Then decide.

The bet

Why this company exists.

The wedge is the shared drive: marks, covenants and RFQs still live in email.

The wedge is the shared drive: marks, covenants and RFQs still live in email.

Allocators want daily marks and covenant visibility. Banks want to originate without building a chain team. The first honest tape that does not pretend to be an exchange will be paid for as software.

Private credit AUM is measured in trillions. The software take-rate is small. The switching cost, once a tape is the record, is not.

Versus the field

A generalist vendor can copy the slide in a quarter. They cannot copy the named record, the scheme map, or the auditor conversation. That is the year they would have to buy.

Vilnius being the city does not make local retail a default audience. Communications capable of inducing investment activity still have a promotions problem.

How it works

  1. 01A loan or covenant event is written once
  2. 02Permissioned counterparties see what they are allowed to see
  3. 03Marks and RFQs stay inside named desks
  4. 04No public order book, no retail
  5. 05Default and amendment events are first-class, not a PDF in a side channel
  6. 06The legal source of truth stays with the incumbent register, admin, or custodian.

If they raise

Where the money would actually go.

Not a token float. A budget against work. RCA Pad still takes 0% of proceeds.

  • Certifications & adapters

    32%

A counsel memo that can survive a later reader.

  • Second market

    22%

Keeping the public story from running ahead of the claims register.

  • Named operators

    16%

Hiring the operator who already does this job at a licensed firm.

  • Control environment

    30%

Dual-control drills, key ceremonies, and the person who owns them.

Operating week

What “in market” actually looks like.

  1. ThuCustomerNamed pilot (redacted) sees the same record the auditor saw.
  2. FriKill switchRehearse unpublish in 24 hours. If it takes a committee, it is not a switch.
  3. SatDarkNo creators. No threads. Restricted geos stay dark.
  4. MonClaimsEvery public sentence checked against the register. Anything extra is unpublished.

The wedge

Why this one, not the other one.

They sell
Desk seat
Who pays
A treasurer at a bank that already settles — not a crypto-native desk.
Unit economics
They win if they are cheaper than the internal build, not cheaper than a protocol.
Moat on file
Four origination desks already post into a closed tape.
Switching cost
Once the record is the record, the incumbent copy has to migrate history. That is the year.
Vs the comps
A DeFi lending pool is the opposite company.
Why we listed it
A redacted facility list landed in week one.

Next twelve months

What has to be true.

Ten live facilities or this is still a lab.

Architecture says keys / title / NAV liability sit with a named licensed party — not Umber Well.

They have not asked us to run a sale. That ask would close the file.

Traction

What you can verify today.

Founded 2026, headquartered in Vilnius. One named pilot on file (redacted in public). 7 nodes or connected surfaces reported. Desk diligence score 83/100. Sprint day 2 of 14. Risks

What can kill it.

The one that actually kills it

The named customer is a letter of intent

Pilots that cannot be named, even redacted, are theatre. One paying seat that an auditor has seen is worth more than a waitlist of a short list.

Marketplace slip

The moment this looks like a public book, it is a venue. This pad will not list that.

Data rights

Who owns the tape when a fund leaves? If that is unsigned, the enterprise value is a conversation.

Credit cycle

A default cluster will test whether the product is a record or a reputation.

Retail

Retail is prohibited. Any ‘access token’ story is a different company.

Data rights on exit

If a fund leaves and the tape stays, who owns the history? Unsigned, the enterprise value is a conversation.

Incumbent feature

The administrator, CCP, scheme or custodian can ship this as a checkbox. Umber Well has to be cheaper or faster before that happens.

Ask these next

  1. 01Who can unpublish a public sentence in 24 hours, by name?
  2. 02Who is the first named paying customer — not a letter of intent?
  3. 03If RCA Pad disappeared tomorrow, could the customer still run the job?
  4. 04What happens if a founder later wants a public token?
  5. 05Which geography is actually locked, and which is a hope?
  6. 06Where do keys, title, or NAV liability sit — and is that person licensed?

Structure

How money would actually move.

Sprint is diligence, not a raise. A pack at the end is a file the company can take to its own lawyers and investors. RCA Pad does not complete funding.

Who can decide

Oskar Okoye (Chief executive) will take a 30-minute call and decide budget. If the only person who can accept “we are not opening a sale” is a silent co-founder in another time zone, this company would not be on the board.

If the first customer renews, the adapter work pays for itself. If they do not, Umber Well is a services firm with a slide. The twelve-month test is renewal, not waitlist.
