VALE
Window closed. a short list asked while it was live. You are reading history.
The first buyer already has a vendor. Vale is taking that invoice. The queue is a short list deep.
Vale — A system of record for private-credit funds and desks: tapes, RFQs, or covenants that update when a borrower files. The buyers already have a book. This is plumbing, not a venue that matches strangers.
Closed on this board. Any capital event was completed with the issuer’s own providers. RCA Pad took 0%.
Closed. The live conversation is over. The pack remains as archive.
Diligence, not a prospectus. RCA Pad does not allocate, take orders, or close funding. If this company raises, it raises with its own counsel.

Why the desk took it
They asked us to kill ‘marketplace’ in every sentence. We did.
Traction
Founded 2024, headquartered in Paris. 3 named pilots on file (identities redacted in public). 12 nodes or connected surfaces reported. Desk diligence score 80/100. Two licensed PSPs on a paid pilot — identities off the public file. A dual-control drill exists on paper. We have not watched it live yet — that is the next ask.
Next 12 months
Closed RFQ wires do this slowly. Vale does it as a record. Per-event pricing so a pilot can start without a transformation programme.
The brief
Most Private credit tape decks start with a market size. This one starts with a job: a person at a licensed firm, a record they cannot currently prove, and a calendar that does not wait for a proposed US rule. The calendar is the window. The window is the scarce thing.
If you leave this page without opening the claims table, you have read marketing. The scarce version of Vale is the version that survives counsel. It is on a clock.
On a Tuesday in Paris, an exception posts back into the customer’s existing case system. Nobody opens a side spreadsheet. That is the product: the night someone in ops does not stay late.
From counsel
A dual-control drill exists on paper. Production evidence is the next artefact, not a tweet.
From ops
This communication is not an offer. Participation mechanics do not exist on this pad. If a later reader treats the public stack as the offer, the stack was already wrong.
From the founder
Fixed fee. Deposit to start. 0% of proceeds. Token-only pay is declined. Percentage of raise is declined.
The window
Waiting for a proposed US rule is how you miss a Paris buyer who already has budget.
Certification is in motion. After it lands, the price of the seat is not the question — access is.
Read it once, properly, while the number is still green. Then decide.

I will take thirty minutes and decide budget. If that person is not me, we should not be listed.

The wedge is the shared drive: marks, covenants and RFQs still live in email.
Allocators want daily marks and covenant visibility. Banks want to originate without building a chain team. The first honest tape that does not pretend to be an exchange will be paid for as software.
Private credit AUM is measured in trillions. The software take-rate is small. The switching cost, once a tape is the record, is not.
Versus the field
The incumbent brand sells the relationship. Vale sells the job the brand will not staff. A protocol pitch is the thing this company has already refused. Open-source looks free until the auditor asks who attests.
Named: France, EEA professional. Off-limits: EU retail, United States. A US person hearing an offering communication is a US problem even if the company sits in Paris. Blocking an IP and taking a US Telegram admin is not a block.
How it works
In the same conversation as
If they raise
Not a token float. A budget against work. RCA Pad still takes 0% of proceeds.
Counsel & perimeter
40%
Hiring the operator who already does this job at a licensed firm.
Control environment
21%
A counsel memo that can survive a later reader.
Second market
18%
Keeping the public story from running ahead of the claims register.
Named operators
21%
Dual-control drills, key ceremonies, and the person who owns them.
Operating week
The wedge
Next twelve months
One administrator consuming marks daily.
A dual-control drill exists on paper. We have not watched it live yet — that is the next ask.
If they raise, it is to hire the remaining certifications and the second market — not to float a coin.

Readiness
Six things a serious buyer asks. 100 is “ready to take to counsel and a customer.”
Risks
The one that actually kills it
Extending the record into a market that is still restricted is how a clean Paris story becomes a fact pattern. The restricted list exists for a reason: EU retail, United States.
The moment this looks like a public book, it is a venue. This pad will not list that.
Who owns the tape when a fund leaves? If that is unsigned, the enterprise value is a conversation.
A default cluster will test whether the product is a record or a reputation.
Retail is prohibited. Any ‘access token’ story is a different company.
If a fund leaves and the tape stays, who owns the history? Unsigned, the enterprise value is a conversation.
A later round that wants a public token puts Vale in a different perimeter. The file treats that as a hard stop.

Where they can operate
Named markets are where a sentence is allowed. Restricted is where it is not. This is not a worldwide offering.

Who can decide
The technical founder is on the record as Chief executive. Contractors in undisclosed jurisdictions are written down as a fact, not hidden. Facts can be managed. Hiding them is how companies die in diligence.
A second counterparty writing into the record is the only network effect that counts. One customer is a consultancy. Two is a market.
