The first sentence — write it so counsel does not laugh

Intent is not a vision. It is a sentence that names the instrument, the audience, and the event. If that sentence cannot be written, there is no RCAICO yet.

    Yes — Proceed. Lock geographies to that path.

    No — Lock “not offering.” Campaign is software, not a sale.

    Yes — Write claims against the class.

    No — No public sentence. Classification is not a brand.

The sentence that does the work

Subject, instrument, audience, geography, event. Five parts. One line.

Bad: “We’re launching a regulated ICO for our DeFi layer.” That sentence contains a hope, a channel, and no facts. Good: “Helios Ltd, an England-and-Wales company, intends a professional-only communication in the UK about a utility software licence that counsel has not yet classified; no public sale; waitlist gated to UK and EEA professional.” That sentence can be operated. It can also be killed, which is a feature.

Write yours before you open Figma. The design will try to inflate it. Creators will try to heat it. A date will try to outrun it. The sentence is the only artefact that later disputes will still recognise.

Three forks on day one

Yes and no are both adult answers. “We’ll see” is how 2017 still books meetings.

Is there a live legal path counsel will name? If yes, the campaign is built inside that path. If no, we lock “not offering” and the campaign is software, a waitlist, a professional narrative — not a sale. Both are RCAICOs in the operating sense. Only one is an offering.

Is the instrument classified on the facts? “Utility” is a brand. Classification is a memo. If the memo does not exist, no public sentence that assumes the class.

Will you ask us to run the sale? If yes, we stop. This is the cheapest no in the house. It saves both sides a quarter.

A regulated ICO is not a mood. It is a sentence that can be shown to a later reader without a flinch.

How to write it on a Tuesday

A template is not a lawyer. It is a way to stop hiding.

Open a blank note. Write: “[Entity] intends [event] of [instrument] to [audience] in [geography]. Counsel is [named / to be retained]. RCA Pad will not take funds, allocate, or operate a venue.” Send that to the person who will be counsel. If they reply with a laugh, you have a fact. If they reply with a mark-up, you have a start.

Do not put the sentence on the website yet. Intent is internal until the screen and the pathway catch up. Public intent is a communication. Communications have rules.

Kill these words in the first draft:

  • Ecosystem, revolutionary, guaranteed, compliant (as a sticker).
  • Global, worldwide, everyone, retail-ready.
  • Listing, TGE as a public sale, “how to buy.”
  • Reg CA as if it were already the law.

Done when

Checklist.

  • Five-part sentence exists, in writing, in a place counsel can see.
  • Event is one of: offering / not-offering / private / waitlist — not a blend.
  • No public page carries the sentence yet.
  • We have not been asked to run a sale.
